1. Scope of Services
1.1 We provide interior design, custom furnishing, decor sourcing, consulting, space planning, and related design services as described on our Site and/or in our proposals or contracts.
1.2 Each project will be governed by a separate agreement (proposal/contract) between you (“Client”) and us, specifying the scope of work, deliverables, timeline, fees, payment schedule, and any other project-specific terms.
2. Client Responsibilities
2.1 You agree to provide complete, accurate, and timely information, including but not limited to measurements, preferences, budgets, site access, approvals, and any needed permits or consents (unless we agree to procure them).
2.2 You agree to respond to requests for input, decisions, or approvals in a timely fashion to allow us to perform the Services according to schedule.
2.3 You are responsible for access to the site (if applicable), ensuring safety and readiness, and any utilities or conditions required for us or our contractors to perform work.
3. Fees, Payment & Costs
3.1 All fees, quotes, proposals or estimates provided are subject to change unless confirmed in writing.
3.2 Payment schedule will be detailed in the project agreement. Usually, deposits are required before work begins, with progress payments at agreed milestones, and a final payment upon project completion.
3.3 Unless otherwise stated, all payments are in United States Dollars.
3.4 You are responsible for additional costs not included in original estimates or proposals (e.g. shipping, taxes, duties, custom fees, special handling, change orders, unforeseen site conditions).
3.5 Late payments may incur interest, fees, or suspension of work, per terms of the project agreement.
4. Changes, Cancellations, & Termination
4.1 Any change requests (scope, materials, schedule) must be agreed in writing. Changes may affect cost and timeline.
4.2 Either party may terminate a project agreement as specified in that agreement. You will remain responsible for payment for work performed up to the termination date, plus any non-recoverable costs incurred.
4.3 We are not liable for delays due to events beyond our reasonable control (e.g. supply chain delays, weather, acts of God, labor shortages, shipping delays).
5. Intellectual Property
5.1 All creative materials (designs, plans, sketches, renderings, mood boards, selections, visuals) provided by us are our intellectual property and are protected by copyright, unless otherwise agreed in writing.
5.2 Upon full payment, you are granted a non-exclusive, non-transferable license to use deliverables for the intended project. Any additional use (e.g. resale, commercial licensing) requires separate agreement and possible additional fees.
5.3 We may photograph or document completed work and use such images for our portfolio, marketing, social media, or promotional purposes, unless you explicitly request otherwise in writing.
6. Warranties & Disclaimers
6.1 We warrant to perform the Services with reasonable skill and care, consistent with industry standards.
6.2 We do not warrant that any product or material provided will be free from defects — where applicable, manufacturer warranties will apply.
6.3 Except as expressly provided in writing, all Services and deliverables are provided “as is,” with no additional warranties (express or implied), including warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
7.1 To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, exemplary, or consequential damages, including, without limitation, loss of profits, loss of data, or loss of use.
7.2 Our total liability for any claim arising out of or related to a project or the use of the Site will not exceed the total fees you paid to us for that project.
7.3 Some jurisdictions do not allow limitation of liability or exclusion of certain damages; in those jurisdictions, our liability shall be limited to the maximum extent permitted by law.
8. Dispute Resolution & Governing Law
8.1 These Terms and any contract between you and us are governed by the laws of the State of Virginia (or the state in which Nancy Parrish Interiors is legally registered), without regard to conflicts of law principles.
8.2 Disputes will be first attempted to resolve through good-faith negotiation. If that fails, then we may pursue mediation or binding arbitration (if applicable) or through state/federal courts located in [County], Virginia.
